Document being finalized
This document is being finalized: some legal information is still to be provided or the text has not yet received its final legal review.
These terms govern access to and use of the Connexus service by business customers. By creating an account or using the service, you accept them.
1. Purpose and parties
Connexus is an online (SaaS) service for managing partner programs, published by the company identified in the legal notice (the "Publisher"). It is intended exclusively for business customers (the "Customer").
2. Accounts and roles
The service distinguishes organization administrators from users. The Customer is responsible for managing its organization’s access, for keeping credentials confidential and for the content it enters.
3. Packs and prices
The service is offered in four packs: Starter (free), Pro, Scale and Enterprise. The prices of the paid packs, the limits of each pack (users, partners) and the included modules are those shown on the Pricing page at the time of purchase; Enterprise is quote-based. A paid pack is only subscribed with the Customer’s express agreement. Prices exclude tax; applicable VAT is added. Any price change of a running paid subscription is notified to the Customer in writing at least 30 days before it applies; the Customer may terminate before that date.
4. Free trial
Each new account gets a 14-day free trial (unless a different length is agreed in writing) with the Scale pack features, without a payment card. At the end of the trial, the account automatically moves to the free Starter pack (1 user, 10 partners), with no charge and no paid subscription, unless the Customer expressly subscribes to a paid pack. Data above the Starter pack limits is kept: only new additions beyond these limits are blocked.
5. Payment
Online payment is not open yet: no amount is charged to the Customer without its prior written agreement. Once it opens, the following rules apply:
- Payment is made by card through Stripe. Connexus does not store card numbers.
- Invoices are issued in advance, at the frequency chosen at purchase.
- When moving to a higher pack, the upgrade is immediate and the prorated amount is billed at the time of the change.
For a card payment, the invoice is payable on receipt. If payment fails, the account keeps its pack during a 7-day grace period, then moves to the free Starter pack, without any data being deleted. Invoices issued outside online payment (Enterprise offer, subscription on quote) are payable within 30 days of their issue date. Any late payment automatically incurs, without prior reminder, late-payment penalties at three times the statutory interest rate in force, plus a fixed recovery indemnity of €40 (articles L441-10 and D441-5 of the French Commercial Code).
6. Term, renewal and termination
- The subscription renews automatically at the end of each period.
- The Customer may cancel at any time; cancellation takes effect at the end of the current period, and access is kept until the end of the paid period.
- The Customer’s data is returned and then deleted at the end of the contract as set out in article 8 and the DPA.
- The Publisher may suspend or terminate access in case of serious breach of these terms.
7. Availability and support
The Publisher endeavors to keep the service available, with no contractual service level except where specifically agreed for Enterprise. Support is provided by e-mail at tannous@connexus.fr.
8. Personal data
For its partners’, contacts’ and opportunities’ data, the Customer is the controller and the Publisher is its processor. The data processing agreement (DPA), available on the website, is part of the contract. The privacy policy describes the processing for which the Publisher is the controller. During the contract, the Customer may obtain on written request an export of its data in a structured format. At the end of the contract, the Customer may request in writing, for 30 days, an export of its data in a structured format; Connexus then deletes its data within the following 30 days, except data the law requires to be kept (notably invoices).
9. Artificial intelligence and agents
- AI features use the Customer’s own AI provider key; data sent to that provider falls under the Customer’s contract with it.
- Actions proposed by agents are subject to human validation, unless the Customer itself allows low-risk internal actions to run automatically.
- The Customer remains responsible for decisions and commitments made relying on these features.
- No guarantee is given on the accuracy of AI-generated content.
10. Intellectual property, license and prohibited uses
The service, its software, trade name and content remain the Publisher’s property. The Customer receives a personal, non-exclusive, non-transferable right of use for its internal needs for the duration of the subscription. The Customer keeps ownership of the data it enters.
Prohibited: unlawful use, transmitting malicious code, unauthorized access to any part of the service, impairing its integrity or performance, reverse engineering, reselling the service and sharing credentials with unauthorized third parties.
11. Liability
To the extent permitted by law, the Publisher is not liable for indirect damages (loss of profit, revenue, data or customers). Its total liability under the contract is limited to the higher of the amounts paid by the Customer under the contract in the twelve months before the event giving rise to liability and €1,000 excluding VAT. These limits do not apply in case of gross negligence or wilful misconduct, or where the law forbids them.
12. Changes to these terms
The Publisher may amend these terms; customers are informed of significant changes by e-mail or in the application. Continued use of the service after notice constitutes acceptance, without prejudice to the right to cancel.
13. Governing law and jurisdiction
These terms are governed by French law. Any dispute falls under the Commercial Court of Lille Métropole (tribunal de commerce), subject to mandatory jurisdiction rules.
14. Contact
For any question about these terms: tannous@connexus.fr.
15. Relations between the Customer and its partners
Relations between the Customer and its partners are governed by their own agreement; Connexus is not a party to it.
16. Order of precedence
In case of conflict, the following apply in this order: a specific written agreement (Enterprise quote or pilot agreement), then the DPA for the protection of personal data, then these terms of use and sale.
17. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of article 1218 of the French Civil Code. The affected obligations are suspended for the duration of the event; if it lasts more than thirty (30) days, either party may terminate the contract in writing, without compensation.
